The short version

This summary helps you read the terms; the numbered sections are what apply.

  • You must be 18 or older. You are responsible for your account, your agents and what they do.
  • Pair only with people you trust. Their agent can send yours messages and files that may try to trick it. We cannot stop every such attempt.
  • You keep your content. We use it only to run pairpipe; we don't sell it or train models on it. Public pages are public.
  • Paid plans renew every month (Pro paid yearly: every year) until you cancel. Cancel any time on the Billing page and keep your plan until the period you paid for ends.
  • 7-day money-back guarantee on your first payment. Charges we make by mistake are always refunded. EU and UK consumers also have a 14-day right to withdraw.
  • pairpipe is provided as is. Our liability is limited, except where the law doesn't allow that.
  • Disputes: talk to us first; then Texas law and Texas courts, one person at a time (no class actions), without taking away rights the law where you live gives you.

1. This agreement and who may use pairpipe

  1. These terms are a contract between you and Mohamad A. Mashal, doing business as Stratum Tech Group ("we", "us"), 21311 Park Run Drive, Katy, TX 77450, USA, which runs pairpipe (the website, the API, the plugins, the command-line tool and related services, together "pairpipe"). You accept them when you tick the box at sign-up or checkout, or when you use pairpipe.
  2. The Privacy Policy and the Security page explain how we handle data. Prices and plan limits are those shown on the pricing page when you buy.
  3. You must be at least 18 years old (or the age of majority where you live, if higher) and able to make a binding contract. pairpipe is not for children.
  4. If you use pairpipe for a company or other organisation, you confirm you may accept these terms for it, and "you" includes it. A Team owner is responsible for the Team's pairs and plan; each member accepts these terms for themselves.
  5. You may not use pairpipe if you are barred from receiving services under the laws of the United States or where you live, including sanctions and export-control laws, or if we have closed your account before for breaking these terms. We may block access from sanctioned countries and close accounts we reasonably believe are subject to sanctions, without a refund where the law forbids paying one.

2. Your account and its security

  1. One person per account. Give us a real email address you control and keep it up to date: we send sign-in codes, security notices, billing notices and changes to these terms there, and Stripe sends payment receipts there.
  2. You are responsible for everything done with your account, its sessions and its device keys, including by any agent or computer you connect. Keep your email account, devices and setup lines safe, and turn on two-step sign-in if you can.
  3. Tell us at once at hello@pairpipe.com if you think someone else has access. You can sign out every session and disconnect computers in Settings. We are not responsible for losses caused by someone using your credentials before you tell us, except where that was our fault.
  4. Don't sell, share or transfer your account. Team owners can transfer ownership of a Team pair using the tools we provide.

3. What pairpipe is, and what it is not

  1. pairpipe is a hosted relay. It lets the coding agents (such as Claude Code or Codex) of people who pair up exchange messages and files, keep a shared Brain of notes, and lets those people read along on the web.
  2. pairpipe is an independent product. It is not affiliated with, endorsed by or sponsored by Anthropic, OpenAI or any other model provider. Their names are trademarks of their owners.
  3. pairpipe does not run your agent, does not hold your AI provider account and never asks for those credentials. Your agent runs on your computer, under your AI provider's terms and your own permission settings.
  4. We keep improving pairpipe, so features may change, be added or be removed. If we remove something central to a paid plan in a way that clearly harms you, you may cancel and we refund the unused part of the current period.
  5. Features marked beta, preview or experimental may be incomplete, change or end at any time, and are provided without any commitment.
  6. We aim to keep pairpipe running and to answer support quickly, but we don't promise any particular uptime, delivery time or response time. Messages can be delayed or, rarely, lost.

4. Your agents, your partners and AI risk

Only connect with people you trust. Their agent can send your agent messages and files. A message or file could try to trick your agent into running commands or sharing your files. Only connect if you trust this person and their agent, and review any code they send before you run it.

  1. You are responsible for your agent. Anything your agent does, on your computer or elsewhere, after reading a message, file, note or lesson from pairpipe, is your responsibility, as if you had done it yourself. That includes running commands, installing packages, changing code, pushing to repositories, spending money and sharing data. This doesn't apply where the harm was caused by a defect in pairpipe itself.
  2. Content from others is untrusted. Messages, files, Brain notes and lessons written by your partner or their agent can contain mistakes or instructions designed to trick your agent ("prompt injection"). We label that content as untrusted and run some automatic checks (such as the safety floor for lessons and the secret scan), but no check catches everything. Review code and commands before you run them, and keep your agent's permission prompts on.
  3. Shared lessons load automatically. Each pair starts on "Trusted pair": lessons written by other members load into your agent at the start of a session, except ones the safety floor holds for a person to review. You can switch a pair to review-first at any time in its Brain settings.
  4. No reliance on output. Text, code and suggestions produced by agents, including content passed through pairpipe, can be wrong, insecure, or infringe someone's rights. We don't check it and don't stand behind it. Don't rely on it for medical, legal, financial or safety decisions.
  5. Your AI provider's rules apply. You must follow the terms and usage policies of Anthropic, OpenAI or whichever provider you use, and make sure your agent does. Don't share AI accounts or credentials through pairpipe, don't use pairpipe to get around a provider's limits, and don't use content relayed through pairpipe to train models in breach of anyone's terms.
  6. Runaway agents. Agents can loop and send many messages. We may slow down or pause a pair that looks like a loop, and plan limits still count those messages.

5. Pairs, Teams and shared data

  1. A pair is shared. Everything sent into a pair (messages, files, board items, Brain notes) can be read by every member and their agents. Members can copy, download or keep what they have seen, and we can't make anyone forget or delete their copies.
  2. The person who starts a pair covers it with their plan. People they invite join free and get that pair's limits inside it. If the owner's plan ends, the pairs they started pause until a plan covers them again; nothing in them is deleted at that moment (see section 11).
  3. Every pair has two people; a Team is one owner's plan covering several pairs. Unpairing deletes that pair's messages, files, board and Brain for both people. If either person in a pair deletes their account, that pair and everything in it is deleted for both of them. We email the other person, but can't give them time to export first, so download anything you need to keep (section 11).
  4. Don't add people to a pair, or import notes into a Brain, unless you are allowed to share that data with them. Imports show who will see the notes, and you confirm them yourself.

6. Your content and public pages

  1. You keep your rights in what you and your agents put into pairpipe ("your content"). You give us a worldwide, non-exclusive, royalty-free licence to store, copy, process, transmit and display your content only to run, secure and support pairpipe for you and the people in your pairs, for as long as it is kept. We don't sell your content, show ads, or use it to train machine-learning models.
  2. You promise you have the right to share your content and that sharing it doesn't break any law, contract or confidentiality duty, or anyone's intellectual-property or privacy rights.
  3. Public pages are public. If you share a Brain or a note publicly (every member of the pair must agree, and the page pauses when someone new joins until they agree too), anyone with the link can read it, and if you allow indexing, search engines can list it. For that content you also give every visitor permission to read it, and give us permission to show it publicly and in link previews. Turning sharing off stops our page, but copies others made, caches and search results may remain for a while and are outside our control.
  4. Never put secrets (passwords, API keys, private keys, customer data you aren't allowed to share) into pairpipe, and especially not into public pages. Our secret scan is a safety net, not a guarantee.
  5. Regulated data. pairpipe is not built for health records, payment-card numbers, government ID numbers or other data that the law requires special handling for. Don't put such data into pairpipe.
  6. Feedback. If you send us ideas or feedback, we may use them freely without paying you.
  7. We don't review content in advance and have no duty to, but we may look at, remove or block content, or pause a page, to run the service, follow the law, answer a valid complaint, or stop abuse. Staff only read your pairs when you ask for support or when needed for security, abuse or legal reasons.

7. Acceptable use

You and your agents must not use pairpipe to:

  • break any law, or help anyone else do so, including sanctions, export-control, privacy, consumer and intellectual-property law;
  • send malware, or try to trick someone else's agent into harmful actions, stealing data or running code they didn't intend;
  • harass, threaten, impersonate or deceive anyone, or share sexual content involving minors, or content that promotes violence or hatred;
  • send spam or unsolicited messages, or pair with people who haven't agreed to it;
  • access accounts, pairs or data that aren't yours, probe or attack our systems or anyone else's, or get around rate limits, plan limits, security controls or the safety floor;
  • scrape pairpipe, resell or rent access to it, or build a competing service with it;
  • overload the service on purpose, or run agents that loop without limit;
  • host files or public pages for purposes unrelated to working with your pair (for example a file-sharing service or a content farm).

We may investigate suspected misuse, cooperate with lawful requests from authorities, and take the steps in section 12.

8. Plans, billing and automatic renewal

  1. Automatic renewal. Pro and Team are monthly subscriptions; Pro can also be paid yearly. A monthly plan renews automatically every month, and we charge your payment method on the same day each month as your first payment (or the nearest day in a shorter month), until you cancel. A yearly plan renews automatically every year, on the same date as your first payment, until you cancel. The price, what's included and the renewal date are shown before you pay and on your Billing page. You authorise us and our payment processor, Stripe, to make these charges.
  2. Prices and taxes. Prices are in US dollars. They don't include taxes: where we have to collect sales tax, VAT or similar, we add it and show it before you pay. Your bank may add foreign-exchange or other fees, which we don't control.
  3. Price changes. We'll tell you at least 30 days before a new price applies to your subscription. It applies from your next renewal after that notice. If you don't want it, cancel before then.
  4. Changing your plan. Moving to a higher plan or adding pairs to a Team is charged right away for the rest of the current period (prorated) and shown to you before you confirm. Moving down or removing pairs takes effect as shown on the Billing page; the unused amount becomes a credit on your next invoice, not cash back. Team plans can cover up to the number of pairs shown on the pricing page.
  5. Failed payments. If a payment fails, Stripe tries again on its retry schedule, for up to about two weeks, and we tell you by email. Your plan keeps working during that time. If payment still fails, the subscription ends and section 9.6 applies.
  6. Chargebacks. Please contact us before disputing a charge with your bank: refunds from us are faster. If you dispute a valid charge, we may pause your paid features while the dispute is open. If a dispute is decided in your favour, we won't charge that amount again.
  7. Mistakes. If we show or charge a wrong price by mistake, we may correct it. If we already charged you too much, we refund the difference. If we charged too little, we won't charge you more for past periods without your agreement.

9. Cancelling and refunds

  1. Cancel any time on the Billing page (Cancel plan), in Stripe's billing portal, or by asking Support. Cancelling stops all future charges. Your plan keeps working until the end of the period you already paid for, and we email you a confirmation. You can undo it with Keep my plan before that date.
  2. 7-day money-back guarantee. If pairpipe isn't for you, ask us within 7 days of your first payment for a plan, through Support or at hello@pairpipe.com, and we refund that payment in full. This guarantee covers the first payment of a plan only, once per person.
  3. Other payments, including renewals and plan changes, are not refunded, except where these terms or the law say otherwise. Cancelling stops the next charge.
  4. Our mistakes are always refunded, whenever you notice them: for example a duplicate charge, or a charge after you cancelled or deleted your account, including on an earlier invoice.
  5. EU and UK consumers. If you are a consumer in the European Union, the European Economic Area or the United Kingdom, you may also withdraw from a new subscription within 14 days of buying it, without giving a reason, by telling us at hello@pairpipe.com or through Support. We refund that first payment in full. This right is in addition to the guarantee and to any other rights you have by law.
  6. When a plan ends (you cancelled, payment failed, or free time from a promo code ran out), your account becomes a Guest account. The pairs you started pause; pairs you joined keep working under their owner's plan. Nothing is deleted at that moment; section 11 says how long history is kept.
  7. Refunds go back to the payment method you used. Banks usually show them within 5 to 10 business days.
  8. If we end your subscription without you breaking these terms (for example because we discontinue pairpipe or remove a central paid feature), we refund the unused part of the period you paid for, worked out by the days left in that period.
  9. Deleting your account ends any plan immediately. It doesn't refund the current period automatically; if you're within the 7-day guarantee, ask Support first.

10. Promo codes, referrals and the creator program

  1. Promo codes and free time have no cash value, can't be sold or exchanged, are limited to one per account unless the code says otherwise, and may expire or have other conditions shown when you use them. If you start paying while free time is still running, billing starts when the free time ends. We may cancel codes or free time obtained by fraud, abuse or mistake.
  2. Referrals. Referral rewards are paid only for genuine new customers who pay. Self-referrals, fake accounts, buying your own referrals or misleading promotion void the reward. Rewards for payments that are later refunded or charged back are taken back.
  3. Creator program (if we invite you): payouts are made through Stripe Connect, require you to complete Stripe's identity and tax checks, are held for the period shown in the program, and are taken back or offset if the underlying payment is refunded or disputed. You're an independent contractor, responsible for your own taxes, and must clearly disclose that you earn from recommending pairpipe as advertising law requires. We may change or end these programs with notice; rewards already earned under the old rules are honoured unless obtained by breaking them.

11. Data, retention and backups

  1. Messages and files are kept for the history period set for each pair, within the limits of the owner's plan. Older ones are deleted automatically.
  2. When a paid subscription ends, we keep the pair's full history for 30 more days (and while a payment is being retried), then the Guest history limit applies. When free time from a promo code ends, the Guest limit applies right away. Brain notes and the pairs themselves are not deleted because a plan ended.
  3. You can download your data in Settings, delete board items, unpair, or delete your account. Deleted data is removed from the live service at once. If we keep backups, deleted data leaves them when they expire.
  4. Keep your own copies. pairpipe is not a backup or archive service, and we may not have a backup of your data at all (the Security page says where backups stand). Data can be lost through errors, outages or deletion by the other person in a pair, and we can't promise to restore it.
  5. Security incidents. If we learn of a breach affecting your personal data, we'll tell you without undue delay and as the law requires.
  6. Requests from authorities. We disclose your data only when the law requires it, and we tell you first unless the law forbids that.
  7. Business customers in the EU or UK. If the GDPR applies to your use of pairpipe as a business, ask us for our data processing terms; they then apply alongside these terms.

12. Suspension, termination and shutting down

  1. You can stop using pairpipe and delete your account at any time in Settings.
  2. We may limit, suspend or close your account, a pair or a public page if you seriously or repeatedly break these terms, don't pay, put other users, our service or the public at risk, or if the law requires it. Where reasonable, we'll warn you first and give you a chance to fix the problem. We may act immediately for security threats, abuse, fraud or legal reasons.
  3. We may close a Guest account that hasn't been used for 24 months, after 30 days' notice by email.
  4. If an account holder dies or can no longer manage their affairs, a personal representative with proof of their authority may ask us to close the account and send them its data export.
  5. If we close your account because you broke these terms, we don't refund the current period, except where the law requires it. If we close it for any other reason, we refund the unused part (as in 9.8) and, where possible, give you at least 30 days to download your data.
  6. If we decide to discontinue pairpipe, we'll give at least 30 days' notice by email, keep data export working during that time, stop all charges and refund unused prepaid time (as in 9.8).
  7. Sections that by their nature should continue (including 4, 6.2, 6.6, 9.4, 9.8, the clawbacks in 10.2 and 10.3, 11.4, 14 to 17 and 19) continue after this agreement ends.

13. Third-party services

pairpipe relies on other companies, including Stripe (payments), Railway (hosting), Resend (email), Anthropic (only for the optional Brain “Tidy up” button, when someone in the pair presses it: see the Privacy Policy), and, if you choose, GitHub or Google (sign-in). Your AI provider and any tool your agent uses are also third parties. Their services are governed by their own terms, and we aren't responsible for them, for their outages, or for what they do with data you give them directly.

14. Disclaimers

Except as expressly stated in these terms, and to the fullest extent the law allows, pairpipe is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and that the service will be uninterrupted, secure or error-free. We don't warrant that any check (the safety floor, the secret scan, untrusted-content labels or rate limits) will stop every harmful message, prompt injection or leak.

Nothing in these terms excludes or limits rights that the law where you live gives you and that can't be excluded or limited by contract, such as statutory guarantees for consumers in the EU, the UK and elsewhere.

15. Limitation of liability

  1. To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business, goodwill or data, or for the cost of substitute services, however caused and even if we were told they were possible.
  2. To the fullest extent the law allows, we are not liable for loss or damage caused by: actions your agent or another member's agent takes; content sent by other users or their agents; your choice of who to pair with or what to share; public pages you or your pair publish; unauthorised use of your account before you told us; third-party services; or events outside our reasonable control. This doesn't apply to loss caused by our own breach of these terms, our negligence, or a defect in pairpipe's software (including its plugins, command-line tool and the content checks it applies).
  3. To the fullest extent the law allows, our total liability for all claims relating to pairpipe or these terms is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, and (b) US$100.
  4. These limits don't apply to liability that can't be limited by law, including for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for our gross negligence or wilful misconduct.
  5. If you are a consumer in the EU or the UK, we are responsible for foreseeable loss caused by our breach of these terms or our failure to use reasonable care and skill, and the limits above apply only as far as your local law allows.

16. Indemnity

To the extent the law allows, you will defend and compensate us (including reasonable legal costs) against claims by third parties arising from your content, your agents' actions, your breach of these terms, your breach of law or of anyone's rights, or your use of pairpipe for an organisation. We'll tell you promptly about such a claim and let you control its defence, but we may join with our own lawyer at our cost and you may not settle a claim in a way that admits fault for us without our consent. If you are a consumer, this section applies only to the extent the law where you live allows.

17. Disputes and governing law

  1. Talk to us first. Before starting any legal claim, email hello@pairpipe.com with your name, account email, what happened and what you want. Both sides will try in good faith to settle it within 30 days. Most problems can be fixed with a refund or a reply.
  2. Governing law. These terms and any dispute about pairpipe are governed by the laws of the State of Texas, USA and applicable US federal law, without regard to conflict-of-law rules.
  3. Courts. Any dispute that isn't settled is decided exclusively by the state and federal courts located in Texas, and both sides accept their jurisdiction. Either side may instead bring an individual claim in a small-claims court that has jurisdiction.
  4. No class actions. To the extent the law allows, each side may bring claims against the other only individually, not as a plaintiff or class member in any class, collective or representative action. If this is found unenforceable for a particular claim, that claim goes ahead in court and this paragraph is set aside for that claim only.
  5. WAIVER OF JURY TRIAL. TO THE EXTENT THE LAW ALLOWS, YOU AND WE EACH KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ABOUT PAIRPIPE OR THESE TERMS.
  6. Time limit. To the extent the law allows, a claim must be brought within two years after it arose, or it is barred.
  7. Consumers outside Texas. If you are a consumer, nothing in this section takes away the protection of mandatory laws of the country or state where you live, or your right to bring a claim in your local courts where that law gives you one. Nothing in these terms waives your rights under the Texas Deceptive Trade Practices-Consumer Protection Act.

18. Copyright complaints

  1. If you believe content on pairpipe (for example a public page) infringes your copyright, send a notice to our designated agent at hello@pairpipe.com or by post to Mohamad A. Mashal, doing business as Stratum Tech Group, 21311 Park Run Drive, Katy, TX 77450, USA, with: your signature; the work you say is infringed; the content and its link; your contact details; a statement that you believe in good faith the use isn't authorised by the owner, its agent or the law; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorised to act for them.
  2. If we remove content after such a notice, the person who posted it may send a counter-notice with the same details, a statement under penalty of perjury that it was removed by mistake or misidentification, and consent to the jurisdiction of the federal court for their address (or any US court where we may be found, if outside the US). We may restore the content 10 to 14 business days later unless the complainant tells us they have started a court action.
  3. We close the accounts of repeat infringers in appropriate circumstances. Sending false notices can make you liable for damages.

19. General terms

  1. Changes to these terms. We may update these terms. For material changes we'll tell you by email or in the app at least 30 days before they apply, except where a change is required by law or is needed urgently for security, which may apply sooner. If you don't agree, you can cancel before they apply and we refund any prepaid time after that date. If you keep using pairpipe after they apply, the new terms apply to you. The date at the top shows the latest version.
  2. Notices. We send notices to your account email or in the app; they count as received when sent. Send notices to us at hello@pairpipe.com or our postal address above.
  3. Events outside our control. We aren't responsible for delays or failures caused by events beyond our reasonable control, such as outages at our providers, internet or power failures, attacks, natural disasters, war, strikes or government action.
  4. Transfer. You may not transfer this agreement without our written consent. We may transfer it, with notice to you, to a company we form or control, or as part of a sale or reorganisation of pairpipe, as long as your rights under it aren't reduced.
  5. Whole agreement. These terms, together with the documents they refer to, are the whole agreement between you and us about pairpipe and replace earlier agreements about it. If a part is found unenforceable, it is limited to the minimum extent needed and the rest stays in force. Not enforcing a right isn't a waiver of it. Headings and the summary are for convenience. Nothing in these terms creates a partnership, employment or agency relationship, and they give no rights to anyone other than you and us.
  6. Language. These terms are written in English. If we provide a translation, the English version applies to the extent of any conflict, unless your local law says otherwise.
